By accessing or using the Helmet Digital website located at helmetdigital.com (the "Site"), and any services, features, content, or applications offered by Helmet Digital LLC ("Helmet Digital," "we," "us," or "our") in connection therewith, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). Helmet Digital provides digital marketing services to home service businesses, including but not limited to search engine optimization (SEO), pay-per-click advertising (PPC), website design and development, local services ads (LSA) management, social media marketing, email marketing, and digital public relations. The Site provides information about our services, resources, tools, and a means to contact us. Any engagement for professional services shall be governed by a separate written agreement between Helmet Digital and the client.
You may access and use the Site for lawful purposes only. You agree not to: (a) use the Site in any way that violates any applicable federal, state, local, or international law or regulation; (b) attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site; (c) use any robot, spider, scraper, or other automated means to access the Site without our express written permission; (d) introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful; (e) interfere with or disrupt the integrity or performance of the Site or its related systems; (f) collect or harvest any personally identifiable information from the Site; (g) impersonate or attempt to impersonate Helmet Digital, a Helmet Digital employee, another user, or any other person or entity; or (h) engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.

You agree to indemnify, defend, and hold harmless Helmet Digital, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your User Content. Helmet Digital reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction. You agree to submit to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you by such courts.
Helmet Digital reserves the right, in its sole discretion, to modify, alter, or otherwise update these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must discontinue your use of the Site.
We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, shall be severed from these Terms. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Helmet Digital regarding your use of the Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site. For the avoidance of doubt, any separate client services agreement executed between you and Helmet Digital shall govern the provision of professional services and shall not be superseded by these Terms.
